Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the Zèya mobile application (the “App”) and related services (collectively, the “Services”) operated by The Zèya App LLC, a company incorporated in the state of Florida (“Zèya,” “we,” “us,” “our”).

By creating an account or using the Services, you agree to be bound by these Terms. 

  1. What Zèya Is

Zèya is a platform that helps users discover and connect with other users to arrange swaps of items. Zèya also provides tools that may include offers, in-app chat, optional identity verification, reporting and moderation, and optional payment features to support certain exchanges.

Zèya does not own, buy, sell, store, deliver, or take possession of items listed by users and is not a party to any transaction between users.

Any agreement relating to a swap, exchange, or payment occurs solely between the users involved.

  1. Eligibility

You must be at least eighteen (18) years of age to use the Services. By accessing or using the Services, you represent and warrant that: 

  • You meet the eligibility requirements;

  • You have the legal capacity to enter into a binding agreement; and

  • Your use of the Services complies with applicable laws.

  1. Account Registration and Security

You must create an account to access certain features of the Services.

You agree to:

  • Provide accurate and complete information;

  • Keep your account information updated.

  • Maintain the confidentiality of your login credentials.

You are responsible for all activity that occurs under your account.

If you suspect unauthorized use of your account, you must notify Zèya immediately. 

Zèya may suspend or terminate accounts that appear compromised or used in violation of these Terms.

  1. User Content and Item Listings

“User Content” includes item listings, photos, descriptions, messages, profile information, and any other materials you submit through the Services.

You represent and warrant that:

  • You own or have the rights to the content you post.

  • Your listings are accurate to the best of your knowledge.

  • Your listings do not violate applicable laws or third-party rights.

You grant Zèya a non-exclusive, worldwide, royalty-free, transferable, and sublicensable license to host, store, reproduce, display, and distribute your User Content as needed to operate and improve the Services. Zèya may remove or restrict User Content that violates these Terms or creates risk for the platform.

  1. Prohibited Items and Conduct

You agree not to use the Services to:

  • List illegal, stolen, counterfeit, or otherwise prohibited items.

  • Post misleading, fraudulent, or harmful content.

  • Harass, threaten, stalk, or abuse other users.

  • Attempt to bypass safety features, moderation, reporting, or enforcement systems.

  • Use the Services for commercial purposes without our written consent.

  • Scrape, reverse engineer, or interfere with the Services.

Zèya may remove listings or restrict accounts at its sole discretion where content or conduct violates these Terms or creates risk to the community.

  1. Swaps, Offers, and User Responsibility

6.1 Swaps and Offers

Users may send, accept, decline, and counter offers through the Services. Offers may include:

  • Item-for-item swaps

  • Bundled items

  • Cash value components (“cash difference”)

  • Other offer structures presented in the App

6.2 Item Values

Zèya may allow users to assign estimated values to items. Values are user-provided estimates, not appraisals. Unrealistic values may reduce interest or offers.

Such values are informational only and do not constitute professional valuation, appraisal, or pricing advice. Zèya does not guarantee the accuracy or fairness of any displayed value.

6.3 Time Windows and Offer Limits

Offers may require action within a displayed time window. Zèya may apply feature limits (including offer limits) based on account status, trust signals, usage patterns, or subscription plan.

6.4 No Guarantees and No Liability for User Transactions

Users are solely responsible for evaluating the value, condition, and legality of items involved in any transaction. Zèya does not verify item authenticity, condition, legality, or value. You are solely responsible for due diligence and safe exchange practices.

To the fullest extent permitted by law, Zèya is not responsible for losses, damages, injuries, fraud, or disputes arising from user-to-user interactions, swaps, or exchanges.

  1. In-Person Exchanges and Safety

If users choose to meet in person to complete an exchange, they do so at their own risk. Zèya recommends meeting in public places and exercising reasonable caution when interacting with other users.

Zèya is not responsible for the conduct of users or any injuries or damages that occur during in-person exchanges.

  1. Chat, Moderation, and Safety Tools

You acknowledge and agree that Zèya may monitor, record, and review messages sent through the platform to ensure compliance with these Terms and to protect the safety of our community. By using our messaging features, you consent to this monitoring.

Zèya reserves the right to remove content, suspend accounts, or take other action if we determine that a user has violated these Terms or engaged in harmful conduct.

You agree not to use our messaging features to:

  • Harass, threaten, or intimidate other users

  • Share fraudulent, misleading, or illegal content

  • Coordinate transactions outside the platform to avoid fees

  • Spam or send unsolicited commercial messages

Zèya does not guarantee that all harmful or unlawful content will be detected. Users remain responsible for their interactions and should report issues promptly.

  1. Optional Identity Verification

Zèya may offer optional identity verification to support trust, safety, fraud prevention, or payment-related requirements. If you choose to verify your identity, you agree to provide accurate information and authorize verification checks as described in the App and our Privacy Policy.

Zèya may use third-party service providers to perform verification. Identity verification does not guarantee the conduct or reliability of any user.

  1. Payments (If Enabled)

10.1 Payments Are Optional and Feature-Dependent

Some transactions may support payments (such as a cash difference) while others may not. Availability may vary by location, category, risk signals, or account status.

10.2 Payment Provider

Payments may be processed by Stripe or another designated payment processor (“Payment Provider”). The Payment Provider is responsible for the authorization, custody, holding, and settlement of funds associated with the transactions conducted through the Services. You agree to comply with the Payment Provider’s terms in addition to these Terms. Zèya does not receive, hold, or control customer funds and does not operate as a bank, escrow service, or money transmitter.

10.3 Authorization Holds and Conditional Release

If enabled, payments may work as follows:

  1. The payer authorizes a payment amount, and the Payment Provider may place a pre-authorized hold.

  2. Funds may remain held until the users confirm completion of the exchange in the App, or until another release rule described in the Help Center or in-App flow applies.

  3. Funds may be released to the receiving user only after the conditions shown in the App are met.

Zèya facilitates the payment hold and release process through the Payment Provider. Zèya is not a bank and does not hold funds itself.

10.4 Fees

Zèya may charge fees related to payment transactions (for example, processing fees). Fees, if any, will be disclosed before you complete a payment.

10.5 Refunds, Voids, and Cancellations

Refund, void, and cancellation behavior depends on timing, confirmation status, Payment Provider rules, and the flow shown in the App. We may require users to take certain steps (for example, confirm cancellation) before funds are released or returned.

10.6 Disputes Related to Payments

If a payment-related dispute is opened, Zèya may:

  • Temporarily pause release of funds (where supported)

  • Review relevant chats, offers, reports, and payment status

  • Request additional information from users

  • Make a platform decision consistent with our policies and the Payment Provider’s capabilities

Users remain responsible for the underlying exchange and communications. Payment Providers may have separate chargeback or dispute processes that we cannot control.

10.7 Taxes

Users are solely responsible for determining and paying any taxes arising from their use of the Services, including taxes related to the sale, exchange, or transfer of items. Transactions conducted through the Services, including swaps or barter exchanges, may constitute taxable events under applicable law.

Zèya does not provide tax advice and does not calculate, collect, or remit taxes on behalf of users unless required by law. 

Users should consult their own tax advisors regarding the tax consequences of their transactions.

10.8 No Escrow Relationship

Nothing in these Terms creates an escrow, fiduciary, or trust relationship between Zèya and any user. Any authorization holds or conditional payment releases are implemented through the Payment Provider’s systems and do not involve custody of funds by Zèya.

10.7 Taxes

  1. Zèya+ (Subscription)

Zèya may offer an optional paid subscription plan (“Zèya Plus”) with enhanced features. If you purchase a subscription:

  • Pricing, billing frequency, and included features will be shown before purchase.

  • Subscriptions renew automatically unless cancelled through your Apple App Store or Google Play settings.

  • Subscription fees are non-refundable except where required by law or platform policy.

We may change subscription features and pricing with notice as required by applicable law and platform rules.

12. Intellectual Property

The Services, including trademarks, logos, design, and software, are owned by The Zèya App LLC or its licensors and are protected by intellectual property laws. You may not copy, modify, distribute, sell, lease, or reverse engineer any part of the Services except as permitted by law.

  1. Third-Party Services and Links

The Services may integrate with third-party services (including Payment Providers). We do not control third-party services and are not responsible for their acts or omissions.

14. Privacy

Your use of the Services is also governed by our Privacy Policy. Please review it to understand how we collect, use, and share information.

15. Disclaimers

The Services are provided “as is” and “as available.” To the fullest extent permitted by law, we disclaim all warranties, express or implied, including fitness for a particular purpose, merchantability, and non-infringement.

We do not warrant that the Services will be uninterrupted, secure, or error-free.

16. Limitation of Liability

To the fullest extent permitted by law, The Zèya App LLC will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, or goodwill arising from or related to:

  • Your use of or inability to use the Services

  • User listings, offers, swaps, exchanges, or communications

  • Unauthorized access to or use of our systems

  • Viruses, bugs, or service interruptions

  • Payment disputes, holds, releases, chargebacks, or reversals handled by third parties

If liability cannot be excluded, our total liability will be limited to the amount you paid to Zèya (if any) in the 12 months before the event giving rise to the claim.

17. Indemnification

You agree to indemnify and hold harmless The Zèya App LLC and its officers, directors, employees, and agents from any claims, losses, liabilities, and expenses (including legal fees) arising from:

  • Your use of the Services

  • Your User Content

  • Your transaction, swap, exchange, or payment activity

  • Your violation of these Terms or applicable law

18. Arbitration and Class Action Waiver

Any dispute, claim, or controversy arising out of or relating to these Terms or the Services shall be resolved through binding arbitration on an individual basis, except where prohibited by law.

The arbitration will be administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules.

You and Zéya agree that:

  • Disputes will be resolved individually, not as part of any class or representative action;

  • Neither party will participate in a class action lawsuit or class arbitration.

Notwithstanding the foregoing, either party may bring claims in small claims court if the dispute qualifies.

If any portion of this section is found unenforceable, the remainder shall remain in effect.

19. Termination

We may suspend or terminate your access at any time, with or without notice, if we believe you violated these Terms, created risk, or misused the Services. You may stop using the Services at any time and may request account deletion, subject to legal and operational retention needs.

20. Changes to These Terms

We may update these Terms from time to time. If changes are material, we will provide notice through the App or other reasonable means. Continued use of the Services after changes take effect means you accept the updated Terms.

21. Governing Law and Venue

These Terms are governed by the laws of the state of Florida, without regard to conflict of law principles. You submit to the exclusive jurisdiction of the courts located in Miami, Florida.
